One of the first real decisions when setting up a business in Dubai is jurisdiction: free zone or mainland. Both are valid paths, but they suit different business models — this guide walks through the practical differences.

Free zone companies

Free zones typically offer 100% foreign ownership, streamlined licensing, and are well suited to businesses trading internationally, within the zone, or providing services that don't require direct mainland market access. The trade-off is generally around restrictions on direct mainland trading without additional licensing.

Mainland companies

A mainland licence allows direct trading across the UAE without free zone restrictions, and most activities now permit full foreign ownership as well. Mainland setup can involve a different documentation and office-space process compared to a free zone.

Tax implications either way

Both structures carry VAT obligations once you cross the relevant turnover threshold, and both require Corporate Tax registration. Free zone entities may additionally qualify for a 0% Corporate Tax rate on qualifying income if specific conditions are met — this is worth assessing before, not after, you commit to a structure.

What actually decides it

In practice, the decision usually comes down to your customer base: if you're selling directly to UAE mainland customers at volume, mainland often makes more sense; if your business is largely international, digital, or zone-based, free zone often fits better. Activity type and licensing cost also factor in.

Getting the accounting foundation right

Whichever structure you choose, setting up your accounting and tax registration correctly from incorporation avoids a much larger clean-up exercise later — particularly once VAT or Corporate Tax filings are due.
